Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") form a binding agreement between you and Quantik Digital LLC, a Tennessee limited liability company doing business as PaceNova ("PaceNova," "we," "us," or "our"). They govern your access to and use of the PaceNova website, mobile experiences, and subscription service (collectively, the "Service").

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms, our Privacy Policy, and our Fitness Liability Disclaimer. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you (a) are at least 18, (b) have the legal capacity to enter into these Terms, and (c) will use the Service in compliance with these Terms and all applicable laws.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at legal@pacenova.ai if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms.

4. Subscriptions, billing, and the free trial

Plans and pricing

The Service is available on monthly or annual subscription plans, billed in advance at the rates posted on pacenova.ai. All prices are in U.S. dollars and exclude any applicable sales tax.

14-day free trial

New subscriptions include a 14-day free trial. During the trial, you have full access to the paid features. Your payment method will not be charged during the trial. If you cancel before the trial ends, you will not be charged. If you do not cancel, your payment method will be charged at the end of the trial for the first subscription period.

Recurring billing

Subscriptions automatically renew at the end of each billing period (monthly or annual) until you cancel. If you subscribe on the web, you authorize us, through Stripe, to charge your saved payment method for each renewal until you cancel. If you subscribe in our iPhone app, payment is charged to your Apple Account, the subscription renews automatically unless cancelled at least 24 hours before the end of the current period in your Apple Account settings, and refunds for Apple-billed purchases are handled by Apple. We will notify you by email at least 30 days in advance of any price change; if you do not accept the new price, you may cancel before it takes effect.

Cancellation

You may cancel at any time, without penalty, from the Settings page, via the Stripe billing portal, or by emailing support@pacenova.ai. Cancellation stops future renewals; your subscription remains active until the end of your current paid period, after which your account reverts to the free, read-only tier. We will send you an email reminder before your free trial converts to a paid subscription and before each annual renewal. If you subscribed through Apple, your subscription is billed by Apple and you manage or cancel it in your Apple Account settings; Apple's terms govern that transaction. A subscription can only be cancelled where it was purchased.

Refunds

Subscription fees are non-refundable, except where required by law. The 14-day free trial gives you the opportunity to evaluate the Service before being charged. We do not provide partial refunds for unused time within a paid period.

EU, EEA, and UK consumers. If you are a consumer based in the EU, EEA, or UK, you have a 14-day right of withdrawal from a distance contract under applicable consumer-protection law. By beginning use of the Service during your free trial, you expressly request that performance begin immediately and acknowledge that you will lose that right of withdrawal once full performance of the Service has begun. Your statutory rights are not otherwise affected.

5. Free tier and feature access

If you do not maintain an active paid subscription, your account remains accessible in a free, read-only tier. You can view workouts and plans you previously created while subscribed, but the following features require an active subscription: AI-generated training plans, plan adjustments and what-if scenarios, advanced analytics, race-time predictions, fatigue and injury-risk insights, manual workout entry and editing, bulk import, and syncing from your phone, watch, and fitness apps.

6. AI-generated training plans

The Service generates personalized training plans, race-time predictions, and pacing recommendations using statistical and machine-learning models. These outputs are informational only. They are not medical advice, diagnosis, treatment, or a substitute for advice from a qualified physician, physical therapist, or certified running coach.

You acknowledge that physical training carries inherent risks, including injury, and you assume those risks. See our Fitness Liability Disclaimer for more detail. We do not guarantee any particular result, race time, fitness gain, or absence of injury from following a plan.

7. Your content and data

You retain ownership of the workouts, race results, notes, and other data you submit to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to provide the Service to you. We will not use Your Content to train third-party AI models or sell it to third parties.

You are responsible for ensuring that any data you import (for example, from your phone or watch, or from .GPX or .CSV files) is data you have the right to use.

8. Acceptable use

You agree not to:

• Reverse-engineer, decompile, or scrape the Service in bulk
• Use the Service to violate any law or third party's rights
• Share your account credentials with anyone else
• Resell or sublicense the Service without our written consent
• Submit false, fraudulent, or other people's health data to the Service
• Interfere with the Service's security features or rate limits
• Use the Service to develop a competing product

9. Importing your data

PaceNova can import your workouts from your phone and watch — including Apple Health on iPhone — and from activity files you upload (.GPX or .CSV). Any third-party service, app, or device you use to produce that data is independent of PaceNova and is governed by its own terms and privacy policy. You control these imports and can revoke access or stop importing at any time from your device settings or the PaceNova Settings page.

9a. GPS run tracking and recorded metrics

PaceNova's optional in-app run tracker uses your device's GPS and motion sensors to record a run. The distance, pace, route, elevation, cadence, and any other metrics it produces are estimates generated from consumer sensors and are not guaranteed to be accurate. GPS signal, weather, buildings, tunnels, and device limitations can all affect them, and they are not medical, survey-grade, or officially certified measurements. You should not rely on them for any purpose requiring precision. Recording a run — especially with the screen on and GPS active — uses significant battery and data; PaceNova is not responsible for battery drain, device performance, or any consequence of a device running low on power during a run. You are responsible for your own safety and surroundings while running; see our Fitness & Safety Disclaimer.

10. Intellectual property

The Service, including its software, models, designs, text, graphics, and trademarks, is owned by or licensed to Quantik Digital LLC and is protected by U.S. and international intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms.

11. Termination

You may stop using the Service at any time and delete your account from within the app (Profile → Manage account) or on the web (Settings → Delete account). Deleting your account removes your account and personal data, except a limited legal-defense record of any injury-risk warnings you ignored or declined, as described in our Privacy Policy. If you have an active paid subscription, cancel it first — we do not cancel it for you, and deleting your account does not stop billing. We may suspend or terminate your access if you violate these Terms, fail to pay fees due, or use the Service in a way that risks harm to us or other users. On termination, your license to use the Service ends. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and dispute resolution — will survive.

12. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any AI-generated recommendation will achieve any particular result.

13. Limitation of liability

To the fullest extent permitted by law, Quantik Digital LLC and its officers, members, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) one hundred U.S. dollars ($100).

We are not responsible for injuries sustained while training, regardless of whether you were following a PaceNova plan. See our Fitness Liability Disclaimer.

Some jurisdictions do not allow the exclusion or limitation of incidental, consequential, or certain other damages, or the limitation of liability for personal injury caused by negligence. To the extent any such exclusion or limitation is not permitted in your jurisdiction, the limitations above will not fully apply to you, and our liability will be limited to the maximum extent permitted by applicable law.

14. Indemnification

You agree to indemnify and hold harmless Quantik Digital LLC and its officers, members, employees, and affiliates from any claim, damage, liability, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any data you submit to the Service.

15. Governing law and disputes

These Terms are governed by the laws of the State of Tennessee, U.S.A., without regard to its conflict-of-laws principles. The state and federal courts located in Knox County, Tennessee will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the personal jurisdiction of those courts.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email and post the updated Terms with a new effective date at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Miscellaneous

These Terms (together with the Privacy Policy and Fitness Liability Disclaimer) constitute the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
